These kind of US based organisations can be problematic as far as the ISA regulations are concerned.
The key issue, that you have referred to below, is whether the organisation is a ‘corporate body with share capital’ (a company) whose ‘shares’ meet the necessary listing/trading requirements.
Just to note that when we’ve raised this with HMRC in the past, they have effectively just said that they don’t involved with decisions such as this and that it is up to the ISA manager to ensure that any shares purchased within ISAs meet the necessary ISA regulations and that the issuing body is a ‘corporate body with share capital’.
We have seen several different kinds of legal entities set up in the US, often some kind or partnership or trust and with some of these, we have been of the view that the organisation didn’t meet the ISA definition of a company.
In this case, the organisation has a NASDQ listing in the real estate sector and the NASDAQ does provide some information on some of the key institutional shareholders (see links below) so, on that basis, I’m inclined to think that this would be a ‘company’ for ISA purposes whose shares do meet the necessary listing requirement ie. they are listed on a recognised stock exchange.
