To qualify for ISA inclusion, a share has to be officially listed on a recognised stock exchange (see ISA Guidance https://www.gov.uk/guidance/stocks-and-shares-investments-for-isa-managers#shareinv) or, from 5 August 2013, admitted to trading on a recognised stock exchange in the European Economic Area (EEA) or the UK. From the initial research we have carried out, according to company website (third link below), the company shares (equity/common shares) are listed on the NASDAQ Stock Exchange, but the actual NASDAQ website is only showing the shares as being traded on the OTC market and, on that basis, the shares wouldn’t meet the ISA qualification criteria as you suggest.
The common shares, however, are traded on the Borse Frankfurt stock exchange (first link below) therefore, on that basis, they will qualify for stocks & shares ISA inclusion for that reason.
The shares also appear to be listed on the London Stock Exchange through an American Depository Receipt (ADR) so this ADR will also be ISA qualifying as a result of the underlying shares being ISA qualifying.
